CONSTITUTION OF CENTRAL AUTO RACING BOOSTERS, INC.

ADOPTED BY THE MEMBERSHIP - DECEMBER, 2002

 

PREAMBLE:     To promote interest in and understanding of the Auto Racing Sport in Missouri and elsewhere among the general public.  To induce cooperation between Fans, Car Owners, Drivers, Track Officials, and the General Public.  To encourage better sportsmanship at the race tracks.

 

Through a membership and its contributions to the organization, personnel, and funds are made available for accomplishing the Club's purposes above.

 

This not-for-profit corporation shall be bound by Chapter 355 Missouri Statutes, and shall enjoy all the privileges and powers provided in Chapter 355 RSMO.  It shall make no profit and is intended to serve a public good in the area described.  The organization will be designed to enjoy Tax Exempt Status and to qualify under Section 501(c) of the Internal Revenue Code for deductibility of contributions and membership dues.  Being constituted as an educational organization.

 

The Central Auto Racing Boosters shall not discriminate against any person on the basis of race, color, or religion.

 

ARTICLE I:                 NAME: The Club voted on the name of Central Auto Racing Boosters, Inc.

 

ARTICLE II: PURPOSE OF C.A.R.B.

 

          A. C.A.R.B. shall support all forms of competitive auto racing on oval tracks regardless of sanction or affiliation.

 

          B.. C.A.R.B. shall, from time to time, hold open meetings in various cities or tracks to explain the purpose of the Club and to interest more people in auto racing.

 

ARTICLE III:MEMBERSHIP

 

          A. C.A.R.B. members must be 16 years of age or over.

 

          B. When a member of C.A.R.B. expires, the surviving spouse, shall receive a one year paid-up membership to C.A.R.B. 

 

          C. A one year paid-up membership shall be given to any person receiving a C.A.R.B. sponsored award or awards presented at C.A.R.B.'s official Annual Awards Banquet.  The membership shall be retroactive to the first of the month in which the award is presented.

 

          D. Any C.A.R.B. member in the Armed Service shall be carried on the paid-up roster as long as he or she is in the service. 

 

ARTICLE IV:          MEMBERSHIP FEES AND DUES  The dues shall be payable in advance upon application for new membership, and due on the first of the month in which the anniversary falls for current members.  Dues prices will be $10.00 for single year membership, or may be paid in advance at a discounted rate of $25.00 for three years membership and $40.00 for five year memberships.  Additionally, a Couples Payment Plan, both people must reside at same residence, is available with discounts as follows: 1 year - $15.00,  3 year - $40.00, and 5 year -$65.00.

 

 

 

ARTICLE V:                OFFICERS

 

          A. Officers shall consist of a President, Vice-President, Secretary, Membership Secretary, Treasurer, and two (2) Sergeant-at-Arms.

 

                    1. Only C.A.R.B. members in good standing are eligible to hold elective, or appointed offices.

 

                    2. The nominee for President need not have held a previous elective office prior to his/her nomination for the office of President. 

 

                    3. Any officer may be elected to the same office for more than two (2) consecutive terms.

 

                    4. Any officer absent from three (3) consecutive board or regular meetings without good and reasonable cause shall be requested, by the President, in writing, to resign their office.  A new officer shall be installed in accordance with the procedure as follows:  Any vacancy of office, with the exception of the Office of President, which occurs during the regular term, shall be filled by appointment of          the Officers and Board of Directors with the approval of a majority of the membership present.

                   

                    5. Method of installing officers shall be at the discretion of the outgoing President.

 

          B. Duties of officers and board of directors.

 

                    1.  The President shall call meetings, preside at all meetings, accept any monies paid into the Club, and turn           all monies over to the Treasurer.  A Club Historian, Parliamentarian, and three Board Members, (one of which shall be the outgoing President) shall be appointed by the President.  Special committees shall be appointed by the President, or presiding officer, at any Club meeting, and shall report progress directly to the President.  If the President wishes to vote, he/she may ask the Vice-President to take charge until the matter has been voted.  Also, in case of a tie vote, the President may vote, if he/she so desires.

 

                    2. The Vice-President shall act as President in his/her absence.  In case of complete disqualification of the President, the Vice-President shall act in the capacity of the President for the remaining period of the term.

 

                    3. The Secretary shall keep minutes of meetings, send out notices of meetings, handle all correspondence as directed by the President, keep a copy of the Constitution up-to-date by attaching all amendments approved by the membership, and act as Treasurer when necessary.

 

                    4. Membership Secretary shall handle all the records of the membership and dues of the Club, collect all dues, and turn these monies over to the Treasurer at least once per month.  Also, see that all delinquent members are contacted regarding paying of dues and to furnish all new members with a membership card, decal, and a copy of the Constitution and By-Laws.

 

                    5. The Treasurer shall keep books, accept any monies paid into the treasury of the Club, receipt thereof, deposit said monies into designated bank under the name of C.A.R.B. and sign all checks.  All checks are to be signed by the Treasurer, the President, or the presiding officer.  The Treasurer shall be furnished with a petty cash fund to cover expense of C.A.R.B.'s business functions.  Club finances, and Books, are to be audited by a committee of three (3) C.A.R.B. members in good standing, (one to be the incoming Treasurer, and the other two to be appointed by the President), prior to December 31st of each year.

 

                    6. Sergeant-at-Arms will maintain order at all meetings and social gatherings, and have custody of all Club Property or know the whereabouts of same, perform each duty as          designated by the President.

 

                    7. The Club historian shall compose a history of C.A.R.B. in book form to include any correspondence, pictures, news items, events, etc. concerning C.A.R.B. activities.  This history shall be kept as a permanent record and shall be passed on to each succeeding Club Historian.

 

                    8. The Parliamentarian shall be appointed by the President and shall act as advisor to the President in parliamentary procedures.  Advise all Officers and Board of Directors as to how to keep procedure books of their duties and see that all informational books are passed on to each new           succeeding Officer and Board of Director. 

 

                    9. The Board of Directors shall consist of six people - three to be elected by the membership and three to be appointed by the President.  A seventh Board Member may be appointed at the option of the President, and shall be designated as the Coordinator.

 

                    10. All elected Officers, Board of Directors, and appointed positions must conduct a meeting, as a group, called by the President.  It shall be the responsibilities of this group to see that the regular meetings are properly conducted, and that the Club expenses are paid promptly and properly. Any matter which cannot be decided by this group for final decision will need the approval of the majority of the membership present at a regular meeting.  This group shall be responsible for all special events sponsored by C.A.R.B.

 

ARTICLE VI:          ELECTIONS

 

          A. Any C.A.R.B. Member, in good standing, shall be entitled to hold any elective or appointive office whether fan, car owner, promoter, track owner, or driver of organized racing groups.

 

          B. Nomination of Officers shall be held at the November meeting, and a list of the nominees are to be sent to all members at least two weeks prior to the election.  All nominations are to be made from the floor.  Nominations are closed at the conclusion of the November meeting.  Election of Officers shall be held the last regular meeting of the fiscal year.  New Officers are to be installed at the January meeting.

 

          C. Election of Officers and Board of Directors shall be by secret ballot.

 

ARTICLE VII: INSTALLATION OF OFFICERS

 

          I, say your name, do hereby sincerely pledge, on my honor, to perform the duties of my office as prescribed by the Constitution of C.A.R.B.; and to do all in my power to advance the interest of the Club.  I will deliver to my successor in Office, all books and other property of the Club that may be in my possession at the close of my official term.  All of this I do solemnly pledge.

 

ARTICLE VIII: MEETINGS

 

          A. The regular meeting shall be held on the first or second Saturday of each month, provided there is no conflict with a race at a C.A.R.B. supported track.  Notification of the time and location of the meeting shall be completed through a newsletter or postcard to the General Membership.

 

          B. Membership present is defined as a quorum for business meetings.

 

          C. A majority of the members present shall carry a vote.

 

          D.  Meetings, other than regular meetings may be held at the discretion of Officers, Board of Directors, and appointed positions, provided two days notice be given to the membership.

 

ARTICLE IX:   

 

          A. This Constitution may be amended by a two-thirds (2/3) vote of the eligible voting members present, provided the following has been complied with:   Notice of the proposed amendments must be announced in writing and discussed at a meeting thirty (30) days prior to the meeting at which the amendment will be voted on.

 

          B. The Board of Directors resolve to adopt the articles of  incorporation as part of the Constitution, and approved same.          They further resolve that the Constitution now in existence is approved and ratified by C.A.R.B., Inc. and is to be binding in all respects; adopts and ratifies all acts of C.A.R.B. and its Officers which have represented this corporation.  All elected officers have been ratified, approved, and adopted.  Seven Directors are necessary to make a quorum.   

 

          C.  Any guidelines not specifically covered in this constitution shall revert to Robert’s Rules of Order for appropriate procedure.

 

 

BY-LAWS OF CENTRAL AUTO RACING BOOSTERS, INC.

 

SECTION I:             PAYMENT OF DUES

 

If dues are not paid within thirty (30) days, a final notice will be sent.  Dues must be paid within ten (10) days of final          notice or they will be taken off the active membership list and placed on a delinquent list.  Members on the delinquent           list wishing to be reinstated, will pay all back dues, or $10.00, whichever is the lesser of the two.

 

SECTION II:          CLUB EXPENSES

 

          A. Functional Expenses of the Club are to be paid promptly by the Treasurer as directed by the Elective Officers and Board Members. A total of expenses should be included in the Treasurer's report at each regular meeting.

 

          B. A Benevolent Fund shall be established, consisting of an initial sum of $50.00 to be withdrawn from the existing C.A.R.B. Treasury, and $2.00 from each Member's dues per annum.  It is to be held in separate trust by the C.A.R.B. Treasurer.

 

SECTION III:TRACKS TO BE ACTIVELY SUPPORTED AT ANNUAL AWARDS BANQUET

 

Any track approved by the membership as a C.A.R.B. supported track, and shall have race meets that maintain a point system           on an oval track.  At a designated meeting, person or group of persons who have been appointed by the President, should be prepared to report all points earned by drivers participating at the respective track.

 

SECTION IV: AWARDS QUALIFICATIONS

 

          A. Track Championship: Winners will be determined by official final point standings.

 

                    1. If driver and owner are the same, two presentations will be made.

 

                    2. If driver and mechanic are the same - same as above.

 

                    3. If mechanic and owner are the same - same as above. 

 

          B. Most Improved Driver:  Any driver, other than a rookie, who shows distinct improvement (thru point system) in his/her driving from last year's performance, who raced in at least seven (7) races in the previous year. 

 

          C. Rookie of the Year: Must be a first time driver ever in auto racing with no previous oval track point, or money race experience, with the exception of novelty races such as fun night, over 16 years of age, who finishes highest in points over other rookies with a minimum of seven races at a C.A.R.B. supported track.  EXCEPTION:  First time driver will continue to qualify as a rookie the following season if he/she has not competed in a total of more than five races in any previous           year.

 

SECTION V:            SPECIAL AWARDS

 

          A. Distinguished Service Award:  Race driver, owner, or mechanic who performs an act or service relating to the "Betterment of Auto Racing".

 

          B. Sportsman of the Year:  A driver, participating in active competition, that shows skill in and devotion to racing, with conduct becoming a sportsman; which involves honest rivalry and graceful acceptance of results.

 

          C. J.O. "Pop" Hartman Award:  Any person other than an active driver, owner, or mechanic, who performs an act or service for the "Betterment of Auto Racing".

 

          D. Virginia Nelson Achievement Award:  This award will be presented to a current member of C.A.R.B. who has unselfishly given of his or her time and energy to the current and past success of C.A.R.B. and to the sport of Auto Racing.  The recipient is a person who asks for nothing in return but to see the future of C.A.R.B. and the sport of Auto Racing maintained in this area.  (Adopted as amendment on 12/12/92)

 

          E.  Tom Karrick Family Award. The award will be described as: Any family that through years of service to the racing community has displayed a devotion and love to auto racing, continually promoting the sport of auto racing through participation in the sport, community service, or other means which displays auto racing as a family sport. In the words of Tom Karrick "RACING IS FAMILY".  To qualify for this award, an individual or family must be a C.A.R.B. member(s).

 

F.  Linda Loos Commitment Award: This award is presented to a C.A.R.B. Member who has displayed complete commitment to the club by volunteering and supporting the various functions throughout the year. The recipient of this award gives a huge amount of their life to the success of C.A.R.B. and regularly attends all C.A.R.B. functions and tackles the duties no else volunteers to complete. This award will be nominated by the general membership. The winner will be determined by a majority vote of the Board of Directors and Officers of those nominated.

 

 

 

          G. Voting and Nominating:

 

                    1. For the above awards the membership should be made aware of the description of what is the "Betterment of Auto Racing".  Members making nominations for the above awards should be prepared to present to the membership a summary of the specific acts or services.

 

                    2. These nominees will be selected by a secret ballot at the following meeting, after additional nominees have been nominated from the floor.

 

          H. Jud Larson Memorial Award:  Awarded to a Kansas City Driver residing within a fifty mile radius from Kansas City, Missouri 's City Hall, who has the highest points for his performance at a track other than a local supported track. (EXAMPLE: Driving at races sanctioned by USAC, NASCAR, IMCA, ETC.)

New Standing Rule:

 

An election committee shall be formed and shall consist of the membership secretary, a sergeant-at-arms, and three members to be appointed by the President.  The Election Committee is responsible for seeing that the election is conducted in an orderly manner. The election for officers and board members will be conducted from three hours before the start of the December General Membership Meeting until 15 minutes after the start of the meeting.  The member voting shall place his or her completed ballot in a sealed box. At the completion of voting the election committee shall verify the number of ballots to those signed in to vote.  The President shall assign three members who were not running for election to tabulate the vote. The secretary shall supply a tally sheet, which shall be completed by the ballot tabulation committee. The tabulation committee shall record the number of votes on the tally sheet and give it and the ballots to the President.  The President shall announce to the membership the number of votes cast and who has been elected for office and the board.  Each tabulating member shall sign the tally sheet and the tally sheet shall be attached to the minutes of the meeting. The secretary shall retain the ballots until the officers and board members are installed in office.
